The terms that govern your use of the Materia platform and this website.
These Terms of Service ("Terms") are a contract between you and Wayfarer K.K. (Wayfarer株式会社, "Materia", "we", "us") governing access to and use of the Materia platform and this website. By creating an account or using the service, you agree to these Terms. If you use the service on behalf of a company, you represent that you have authority to bind that company.
Materia provides hospitality operations and intelligence software, including the Vero AI analyst. We may update, improve or change features over time; we will not materially reduce the core functionality of a paid plan during a paid term without notice.
You are responsible for your account, for the accuracy of the information you provide, and for keeping credentials secure. You must have the authority to connect any systems or data you link to Materia, and you are responsible for the acts of users you invite.
Free trials convert to a paid plan only when you subscribe. Subscription plans are billed in advance for each billing period and renew automatically unless cancelled by the day before the renewal date. Fees are non-refundable once a billing period has started, and no pro-rated refunds are given for mid-term cancellation, except where required by law. Enterprise plans are billed and cancelled per the applicable order or individual agreement, which prevails over these Terms where they conflict.
Pricing and payment terms for customers in Japan are also described in our Specified Commercial Transactions Act disclosure.
You retain ownership of the data you connect to or create in Materia. You grant us the rights needed to host, process and display that data to operate and improve the service for you. Our handling of personal information is described in our Privacy Policy. We treat your non-public business data as confidential and use it only to provide the service, except as required by law.
Materia, its software and content are owned by us or our licensors, and no rights are granted except the right to use the service under these Terms. Feedback you give us may be used to improve the service without obligation.
The service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim implied warranties, and our total liability arising out of or related to the service is limited to the fees you paid for the service in the 12 months before the event giving rise to the claim. We are not liable for indirect, incidental or consequential damages. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability arising from our wilful misconduct or gross negligence.
You may stop using the service at any time; cancellation takes effect as described under Trials, fees & subscriptions. We may suspend or terminate access for material breach of these Terms, non-payment, or as required by law, with notice where practicable. Upon termination we will make your data available for export for a reasonable period, then delete it in accordance with our Privacy Policy and your agreement.
We may amend these Terms where reasonably necessary, in accordance with Article 548-4 of the Japanese Civil Code (standard terms of contract). We will post the amended Terms on this page with reasonable advance notice of the effective date.
These Terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction in the first instance over any dispute arising out of or in connection with these Terms or the service.
